AGO AG Energie + Anlagen: YIT new indirect majority shareholder

Kulmbach, 22 October 2010: AGO AG (WKN: A0LR41, ISIN: DE000A0LR415) received the following notifications in accordance with Section 20 of the German Stock Corporation Act (AktG):

1)
In accordance with Section 20 (1) and (3) AktG, YIT Oyj, Helsinki, Finland, informed us that it indirectly holds more than one fourth of shares in AGO AG Energie + Anlagen, as in accordance with Section 16 (4) AktG, the shares held by caverion GmbH, Stuttgart, Germany, a company dependent on YIT Oyj, in AGO AG Energie + Anlagen count towards the overall amount of shares held by YIT Oyj.

In accordance with Section 20 (4) AktG, YIT Oyj also informed us that it holds an indirect majority share in AGO AG Energie + Anlagen, as in accordance with Section 16 (4) AktG, the shares held by caverion GmbH, a company dependent on YIT Oyj, in AGO AG Energie + Anlagen count towards the overall amount of shares held by YIT Oyj.

These shares are allocated to YIT Oyj in accordance with Section 16 (4) AktG due to YIT Germany GmbH, Deggendorf, Germany, holding all shares in caverion GmbH, YIT Building Systems Oy, Helsinki, Finland, holding all shares in YIT Germany GmbH and YIT Oyj, Helsinki, Finland, holding all shares in YIT Building Systems Oy.

In accordance with Section 20 (1) and (3) AktG, YIT Building Systems Oy, Helsinki, Finland, informed us that it indirectly holds more than one fourth of shares in AGO AG Energie + Anlagen, as in accordance with Section 16 (4) AktG, the shares held by caverion GmbH, Stuttgart, Germany, a company dependent on YIT Building Systems Oy, in AGO AG Energie + Anlagen count towards the overall amount of shares held by YIT Building Systems Oy.

In accordance with Section 20 (4) AktG, YIT Building Systems Oy also informed us that it holds an indirect majority share in AGO AG Energie + Anlagen, as in accordance with Section 16 (4) AktG, the shares held by caverion GmbH, a company dependent on YIT Building Systems Oy, in AGO AG Energie + Anlagen count towards the overall amount of shares held by YIT Building Systems Oy.

These shares are allocated to YIT Building Systems Oy in accordance with Section 16 (4) AktG due to YIT Germany GmbH, Deggendorf, Germany, holding all shares in caverion GmbH and YIT Building Systems Oy, Helsinki, Finland, holding all shares in YIT Germany GmbH.

3)
In accordance with Section 20 (1) and (3) AktG, YIT Germany GmbH, Deggendorf, Germany, informed us that it indirectly holds more than one fourth of shares in AGO AG Energie + Anlagen, as in accordance with Section 16 (4) AktG, the shares held by caverion GmbH, Stuttgart, Germany, a company dependent on YIT Germany GmbH, in AGO AG Energie + Anlagen count towards the overall amount of shares held by YIT Germany GmbH.

In accordance with Section 20 (4) AktG, YIT Germany GmbH also informed us that it holds an indirect majority share in AGO AG Energie + Anlagen, as in accordance with Section 16 (4) AktG, the shares held by caverion GmbH, a company dependent on YIT Germany GmbH, in AGO AG Energie + Anlagen count towards the overall amount of shares held by YIT Germany GmbH.

These shares are allocated to YIT Germany GmbH in accordance with Section 16 (4) AktG due to YIT Germany GmbH, Deggendorf, Germany, holding all shares in caverion GmbH.

The company’s notification in accordance with Section 20 (6) AktG has been published in the electronic Federal Gazette (Bundesanzeiger).

“Going by to the information available to us today, the changes to the indirect shareholder structure have no effect on AGO AG’s operating business. We will promptly announce any new information we may receive,” commented Hans Ulrich Gruber, CFO of AGO AG Energie + Anlagen.
